Welcome to VARAMODEL Studio (
varamodelstudio.com). These Terms and Conditions (“Terms”, “Agreement”) govern the relationship, rights, and obligations between VARAMODEL Studio (“Studio”, “we”, “us”, “our”) and any client, business, or visitor (“Client”, “you”) engaging our professional 3D modeling, digital sculpting, character design, and visualization services.By submitting a project brief, requesting a custom quote, or executing a studio contract, you acknowledge that you have read, understood, and agree to be bound by these formal Terms.
1. Scope of Digital Services
VARAMODEL Studio provides highly specialized digital 3D production services, including but not limited to:
- Digital sculpting for 3D printable figurines, miniatures, collectibles, and action figures.
- Organic 3D character, creature, and animal modeling optimized for games and animations.
- Hard surface modeling, specialized vehicle concept rendering, and product prototyping.
- Scan reconstruction, cleanups, file preparation (
STL,3MF,STEP,FBX), and technical 3D animations.
We reserve the right to decline any project request that violates moral boundaries, infringes on existing copyright, or falls outside our structural and technical capabilities.
2. Bespoke Project Inbound & Quoting
We do not operate an automated retail shopping cart system. Every assignment requires an individual evaluation:
- Quotes: All project assessments and quotes provided by the Studio are based entirely on the original specifications, reference images, and constraints provided by the Client.
- Re-Quoting: If the Client drastically alters the core design parameters, geometry requirements, or target engine/printing deliverables mid-production, the original quote becomes void, and a revised milestone fee structure will be issued.
3. Financial Terms, Deposits, & Milestones
To maintain studio resources and secure production windows, the following billing structures apply to all custom contracts:
- Milestone Billing: Projects require a non-refundable commencement deposit (typically 50% upfront, unless otherwise negotiated) before technical design begins. Remaining balances are tied to milestone sign-offs or final asset delivery.
- Invoicing: All transactions are managed through secure corporate invoicing networks. We accept major credit cards, verified PayPal transfers, and direct bank wires.
- Late Payments: The Studio reserves the right to halt active 3D development or withhold final master file delivery (
STL,FBX, etc.) if a milestone invoice remains unpaid past its designated due date.
4. Client Review, Approval, & Revisions
We maintain a transparent, step-by-step preview process (e.g., initial clay renders, topology maps, and material passes) to ensure accuracy:
- Review Windows: Upon receiving a milestone preview, the Client has five (5) business days to provide consolidated, clear design feedback or requested modifications.
- Included Revisions: Standard custom quotes include a designated number of minor revision cycles (specified in your individual contract).
- Scope Creep: Extensive structural overhauls requested after a milestone has already been formally approved by the Client will incur additional hourly or flat fee design charges.
5. Intellectual Property (IP) Rights & File Deliveries
A. Client-Provided Assets
The Client warrants that all text, sketches, reference photos, trademarks, or raw 3D scans provided to VARAMODEL Studio are owned by the Client or that the Client has obtained explicit legal permission to utilize them. The Client agrees to indemnify and hold VARAMODEL Studio harmless against any third-party copyright infringement claims regarding these materials.
B. Final 3D Assets & Master Files
- Transfer of Ownership: Upon final project approval and receipt of 100% of the agreed-upon financial compensation, full digital ownership and usage rights of the finalized 3D model geometry transfer to the Client.
- Studio Portfolio Rights: Unless a strict non-disclosure agreement (NDA) or custom exclusivity clause is signed prior to project kickoff, VARAMODEL Studio retains the right to display high-resolution renders, clay turnarounds, or wireframes of the completed work within our professional portfolio, social channels, and showcase pages for promotional purposes.
6. Manufacturing, 3D Printing, & Pipeline Disclaimers
- Digital Compatibility: While we rigorously test, shell, and key figurines for multi-part printing, and structure game meshes with clean topology, the final physical or digital performance depends on variables outside our control.
- No Physical Liability: VARAMODEL Studio provides digital assets. We are not liable for physical manufacturing failures, material waste, resin/filament costs, print bed adhesion issues on your specific machinery (e.g., Bambu Lab setups), or engine frame-rate drops resulting from third-party developer integration mistakes.
7. Direct Confidentiality & NDA Protocols
We treat proprietary concepts, automotive mockups, and toy line designs with strict operational discretion. If you require a signed Mutual Non-Disclosure Agreement (MNDA) to begin discussions, this must be executed concurrently with or prior to submitting sensitive reference files. If no separate NDA is signed, both parties agree to keep all internal project pricing, structural brief notes, and developmental communication confidential.
8. Limitation of Liability
To the maximum extent permitted by applicable law, VARAMODEL Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, commercial revenue, production data, or business opportunities arising from your use of our digital assets or website. Our total aggregate liability under any circumstances shall not exceed the total amount paid by the Client to the Studio for the specific project in question.
